1. Acceptance of Terms

By accessing or using the Tranchi platform (the "Platform"), operated by Munoz & Ghezlan LLC ("Company," "we," "us," or "our"), located at https://tranchi.ai, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing this Platform.

These Terms constitute a legally binding agreement between you and Munoz & Ghezlan LLC. Your continued use of the Platform constitutes your ongoing acceptance of these Terms, as they may be updated from time to time.

2. Platform Description & Disclaimer

Tranchi is a real estate investment analysis platform that provides tools for calculating Debt Service Coverage Ratios (DSCR), analyzing property cash flow, browsing on-market deals, generating offer templates, and connecting investors with financing options. The Platform is designed for informational and educational purposes only.

The information provided on this Platform does NOT constitute financial advice, investment advice, legal advice, tax advice, or any other form of professional advice. All calculations, estimates, rent projections, DSCR ratios, cash flow projections, and property valuations are approximations based on available data and should not be relied upon as the sole basis for any investment decision. You should consult with qualified professionals including licensed real estate agents, mortgage brokers, financial advisors, attorneys, and CPAs before making any investment decisions.

3. Intellectual Property Rights & Copyright

All content, features, functionality, design, source code, algorithms, user interface, graphics, logos, trademarks, trade dress, and proprietary technology on the Platform (collectively, "Platform IP") are the exclusive property ofMunoz & Ghezlan LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You expressly agree that you will NOT:

  • Copy, reproduce, duplicate, download, scrape, or mirror any portion of the Platform or its content
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying technology of the Platform
  • Create derivative works based on the Platform's design, functionality, features, or user interface
  • Use any automated system, bot, spider, scraper, or data mining tool to access, extract, or collect data from the Platform
  • Reproduce, redistribute, sell, license, sublicense, or commercially exploit any Platform content or features
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use the Platform's proprietary calculation methodologies, deal analysis algorithms, or scoring systems in any competing product or service
  • Frame, mirror, or embed the Platform or any portion thereof on any other website or application

The "Tranchi" name, logo, robot mascot, taglines, and all related marks are trademarks and/or service marks of Munoz & Ghezlan LLC. Unauthorized use of any trademark, service mark, or trade dress is strictly prohibited and may constitute trademark infringement.

4. DMCA & Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond expeditiously to claims of copyright infringement committed using the Platform.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing
  • Your contact information (address, telephone number, and email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

5. SMS/Text Message Consent (TCPA Compliance)

By providing your phone number and opting in to receive SMS/text messages from Tranchi, you expressly consent to receive recurring automated marketing and informational text messages from Munoz & Ghezlan LLC at the phone number you provided, including messages sent by autodialer. This consent is not a condition of any purchase.

SMS Terms:

  • Message frequency: Message frequency varies. You may receive up to 10 messages per month.
  • Message and data rates may apply. Check with your carrier for details.
  • Opt-out: You can opt out at any time by texting STOP to any message you receive from us. After texting STOP, you will receive one final confirmation message and will no longer receive text messages from us.
  • Help: Text HELP for assistance or contact us at [email protected].
  • Carriers: Supported carriers include AT&T, T-Mobile, Verizon, Sprint, and all major US carriers. Carriers are not liable for delayed or undelivered messages.
  • Privacy: Your phone number and opt-in data will not be shared with or sold to third parties for marketing purposes. See our Privacy Policy for details.

By opting in, you acknowledge and agree that your consent is being provided in compliance with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and all applicable state and federal regulations regarding automated communications.

6. Email Communications Consent (CAN-SPAM Compliance)

By creating an account and opting in to email communications, you consent to receive commercial and transactional emails from Munoz & Ghezlan LLC, including but not limited to:

  • Deal alerts and new property notifications
  • Market analysis and investment insights
  • Platform updates and new feature announcements
  • Financing offers and pre-qualification opportunities
  • Educational content related to real estate investing
  • Account-related transactional messages

In compliance with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.), all marketing emails will include a clear unsubscribe mechanism. You may opt out of marketing emails at any time by clicking the "Unsubscribe" link in any email. Transactional emails related to your account cannot be opted out of.

7. User Accounts & Responsibilities

When you create an account on the Platform, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

8. Prohibited Uses

In addition to the intellectual property restrictions above, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law
  • Impersonate any person or entity or falsely state your affiliation
  • Interfere with or disrupt the Platform's servers, networks, or security features
  • Attempt to gain unauthorized access to any portion of the Platform
  • Use the Platform to transmit spam, chain letters, or unsolicited communications
  • Collect or harvest any personally identifiable information from other users
  • Use the Platform in any manner that could damage, disable, or impair the Platform
  • Use any information obtained from the Platform to compete with Munoz & Ghezlan LLC

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUNOZ & GHEZLAN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Platform
  • Any conduct or content of any third party on the Platform
  • Any content obtained from the Platform
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any investment decisions made based on information provided by the Platform
  • Inaccuracies in property data, rent estimates, DSCR calculations, or cash flow projections

Our total liability to you for all claims arising from or related to these Terms or the Platform shall not exceed the amount you paid us, if any, during the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Munoz & Ghezlan LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your use of the Platform caused damage to a third party.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Florida. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms.

13. Severability & Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Munoz & Ghezlan LLC regarding the Platform.
